Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by Nova Buzz Marketing Inc. ("Nova Buzz," "we," "us," or "our"). By engaging our services, you agree to be bound by these Terms.

1. Agreement to Terms

By accessing our website, submitting an application, or entering into a service agreement with Nova Buzz Marketing, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Services

Nova Buzz Marketing provides the following marketing and business services:

• AI Implementation & Automation
• Paid Advertising (Google Ads, Meta Ads, LinkedIn Ads)
• Social Media Management & Strategy
• Lead Generation & Pipeline Development
• Custom Outreach (Email, LinkedIn, SMS)
• Website Development & Optimization
• Online Presence & Local SEO
• B2B Outreach & Account-Based Marketing
• B2C Marketing & Consumer Campaigns

The specific services to be provided will be outlined in an individual service agreement or statement of work between you and Nova Buzz Marketing.

3. Client Obligations

As a client of Nova Buzz Marketing, you agree to:

• Provide accurate and complete information about your business
• Grant necessary access to accounts, platforms, and tools as required for service delivery
• Respond to requests for approvals, feedback, and materials in a timely manner
• Comply with all applicable laws and regulations in your industry
• Not use our services for any unlawful or prohibited purpose

4. Payment Terms

• Services are billed on a monthly basis unless otherwise specified in your service agreement
• Invoices are issued at the beginning of each billing period
• Payment is due within 15 days of invoice date
• Late payments are subject to a 1.5% monthly interest charge
• One-time services (e.g., website development) require a 50% deposit before work begins
• All fees are in USD unless otherwise specified

5. Intellectual Property

Upon full payment, the client owns all final deliverables created specifically for their business, including designs, copy, and custom assets. Nova Buzz Marketing retains the right to use work samples in our portfolio and case studies unless explicitly restricted in the service agreement.

Nova Buzz Marketing retains ownership of all proprietary tools, frameworks, processes, and methodologies used in service delivery.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information shared during the course of the engagement. This includes business strategies, financial data, customer information, trade secrets, and any other information designated as confidential. Confidentiality obligations survive the termination of the service agreement.

7. Results Disclaimer

While Nova Buzz Marketing strives to deliver the best possible results, we cannot guarantee specific outcomes, rankings, traffic levels, or revenue increases. Marketing results depend on numerous factors including market conditions, competition, budget, and client cooperation. Past results and case studies are not guarantees of future performance.

8. Termination

• Either party may terminate the service agreement with 30 days written notice
• Upon termination, the client is responsible for payment of all services rendered through the termination date
• Nova Buzz Marketing reserves the right to terminate services immediately in cases of non-payment, breach of terms, or illegal activity
• Upon termination, we will provide reasonable transition assistance and transfer of relevant accounts and assets

9. Limitation of Liability

To the maximum extent permitted by law, Nova Buzz Marketing's total liability for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you in the three (3) months preceding the claim. In no event shall Nova Buzz Marketing be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Dispute Resolution

Any disputes arising out of or related to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in a mutually agreed upon location, and the decision of the arbitrator shall be final and binding on both parties.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflicts of law principles.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the updated Terms.
